General conditions of sale

Article 1 – Scope:
Any order implies full, irrevocable, and unconditional acceptance of these Terms and Conditions. No provision originating from the buyer, including its own terms of purchase, shall prevail unless explicitly agreed in writing by FRANCE BATTERY. Any modification shall apply only to future orders unless otherwise agreed.

Article 2 – Orders:
FRANCE BATTERY may refuse any order not covered by valid credit insurance. Confirmed orders are firm and irrevocable. Postponement or cancellation is subject to written agreement and may incur fees.

Article 3 – Delivery:
Delivery times are indicative. No delay shall justify cancellation or compensation unless expressly agreed in writing. The buyer must raise reservations upon delivery in case of damage and confirm them within 3 days.

Article 4 – Pricing and Payment:
Prices are those in effect at the time of shipping. Payment is due upon receipt. Late payment penalties are automatic (ECB rate +10 pts). Prices may be revised in case of a cost increase >5%. Silent acceptance if no objection within 5 business days. Digital exchanges constitute valid proof.

Article 5 – Force Majeure:
Any force majeure event suspends FRANCE BATTERY’s obligations without compensation.

Article 6 – Warranty and Returns:
Warranty limited to contractual conformity. No return accepted without prior written approval. Warranty is non-transferable. Unauthorized intervention voids the warranty.

Article 7 – Product Use and Safety (Lithium-ion Batteries):
The buyer must verify product compatibility. Medical use is strictly prohibited. Storage and transport conditions must be followed. FRANCE BATTERY accepts no liability in case of misuse.

Article 8 – Exclusion of Sensitive or Military Uses:
Nuclear or military applications are prohibited unless expressly approved in writing.

Article 9 – Mandatory Insurance:
The buyer must have liability insurance adapted to lithium-ion battery risks.

Article 10 – Environmental Clause:
The buyer is responsible for compliance with collection, treatment, and recycling obligations related to batteries.

Article 11 – No Copying / Reverse Engineering:
Prohibited under penalty of a flat-rate compensation of €50,000 per violation.

Article 12 – Limitation of Liability:
Liability is limited to €500 per order. Indirect damages are not compensable.

Article 13 – Non-Solicitation:
Hiring FRANCE BATTERY / OLENERGIES staff is prohibited for 24 months after the end of the commercial relationship.

Article 14 – Non-Disparagement:
A flat-rate penalty of €10,000 shall apply for any public statement damaging FRANCE BATTERY’s image.

Article 15 – Intellectual Property:
All documents and software remain the exclusive property of FRANCE BATTERY.

Article 16 – Audit and Traceability:
FRANCE BATTERY reserves the right to audit the use of its products.

Article 17 – Confidentiality:
Confidentiality is required for 5 years, and indefinitely for sensitive data.

Article 18 – French Version Prevails:
In case of discrepancies, only the French version shall prevail.

Article 19 – Automatic Renewal:
These Terms apply to all future orders unless otherwise stipulated.

Article 20 – Immediate Termination:
Serious breaches entitle FRANCE BATTERY to terminate orders without notice or compensation.

Article 21 – Disputes:
Exclusive jurisdiction: Commercial Court of Bobigny. French law applies.

Article 22 – Warranty Period:
Twelve (12) months from delivery. No extensions allowed.

Article 23 – Technical Training:
Mandatory user training. FRANCE BATTERY disclaims liability if not completed.

Article 24 – Technical Developments:
FRANCE BATTERY may update its products without prior notice.

Article 25 – Periodic Checks:
The buyer must perform regular product inspections. Otherwise, the warranty is void.

Article 26 – Obligation to Inform End Users:
Safety instructions must be passed to end users, especially in B2B2C contexts.

Article 27 – Environmental and Fire Liability:
Full responsibility lies with the buyer. Firefighting equipment for lithium-ion batteries is mandatory.

Article 28 – False Declarations:
Any false information voids the warranty.

Article 29 – Risk Transfer:
Risk transfers upon delivery to the carrier, regardless of Incoterm.

Article 30 – Technical Validation:
Required for all specific/custom orders.

Article 31 – Geographic Restrictions:
No use or export to embargoed or restricted countries.

Article 32 – Prototypes and Pre-Series:
Provided without warranty, under buyer’s full responsibility.

Article 33 – Entire Agreement:
These Terms constitute the entire agreement and override all other documents.


Specific Clauses for Consumer Clients (B2C):

Article 34 – Right of Withdrawal:
In accordance with Article L.221-18 of the French Consumer Code, the consumer has a 14-day withdrawal right. Return costs are borne by the buyer unless stated otherwise.

Article 35 – Legal Guarantees:
FRANCE BATTERY applies the legal guarantees of conformity (Articles L.217-3 et seq. of the Consumer Code) and hidden defects (Articles 1641 to 1649 of the Civil Code).

Article 36 – Mediation:
The consumer may contact a mediation body or use the European platform: https://ec.europa.eu/consumers/odr

Article 37 – Personal Data:
Data processing complies with GDPR. See the Privacy Policy on www.francebattery.com.

Article 38 – Cookies:
Cookies are subject to explicit consent. Manage cookies via the website’s consent banner.

Article 39 – Online Orders:
Placing an order on the website requires full acceptance of these Terms via mandatory checkbox (“clickwrap”).
